Terms of Service
These terms are an agreement between you and Aurelia Spes Limited, a company registered in England and Wales (company number 17299015), registered office: 44 Henderson Way, Kempston, Bedford, England, MK42 8NP ("we", "us") for your use of Aurelia Spes. Contact: Founder@aureliaspes.com.
1. Who can use it
You must be 18 or over and able to enter a binding contract. If you use Aurelia Spes for a business, you confirm you are authorised to accept these terms for it.
2. Your account
Keep your password safe and tell us at Founder@aureliaspes.com if you think someone else has used your account. You are responsible for activity on your account. Do not share your sign-in with anyone; if colleagues need access, put them on a team seat instead (see below), which gives each of them their own account.
2a. Teams and seats
- Plans from Professional upwards, and every business plan, include a number of seats, counting the person who owns the plan. The number is shown on the pricing page.
- The plan owner invites colleagues by email address. Each colleague uses their own account and password; no sign-in is shared. A colleague joins only when they accept the invitation, and is told before accepting what the plan owner will be able to see.
- The plan's credits are shared across everyone on the team, and are not multiplied by the number of seats.
- The plan owner can see every check run on the plan (the strategy name, when it ran, the verdict, the report in full, its evidence pack, and the name and email of the colleague who ran it) for the time each colleague is a member. Checks a colleague ran before joining are never shown. Anyone joining a team is told this before they accept, and it is set out in the Privacy Policy. Do not run personal work on a firm's plan.
- The plan owner may remove a colleague at any time, and a colleague may leave at any time. Either way the colleague keeps their own account and their own reports, but stops using the plan. Checks run before leaving stay on the plan owner's record, because that is the record the firm is keeping, and they stay there if the colleague later deletes their account.
- The person who pays for the plan is responsible for what everyone on it does with it.
3. Plans, payment and renewal
- You must confirm your email address before you can run a check or a backtest, buy anything, generate code or invite anyone.
- New accounts get one free credit after confirming their email address. The free credit is per inbox, not per account: addresses that deliver to the same inbox (for example with a "+" tag) share it, and deleting an account and signing up again does not restart it.
- Credits. One credit pays for one compliance check or one backtest. A check that cannot be completed because of a fault on our side gives its credit back.
- Paid plans are charged in advance when you subscribe, then renew automatically each month or year at the price shown when you subscribed, until you cancel.
- Each plan includes a set number of credits, as shown on the pricing page (Solo Trader 2, Professional 5, Institutional 10, Broker Lite 5, Prime / Hedge Fund 12, HFT Enterprise 20). When they are all used, the plan's credits refill in full 48 hours later. Unused plan credits do not roll over. If you change plan part-way through a 48-hour period, the credits already used in it still count against the new plan's number.
- We will give you at least 30 days' notice of any price change, and you can cancel before it applies.
- Payments made on this website are processed by Stripe. If a renewal payment fails, your plan keeps working for a short grace period while payment is retried, then pauses.
- Subscriptions bought inside the iPhone or iPad app are different, and section 3a below applies to them instead of the rest of this section.
- With or without a plan, you can buy extra credits as a one-off purchase. Section 3b applies to them.
- Prices are shown in pounds sterling. Checkout collects your billing address and, if you give one, your VAT number, and Stripe issues an itemised invoice for every payment including renewals. Business plans also ask for the company name and any purchase-order reference, which are printed on the invoice.
- On the Institutional, Prime / Hedge Fund and HFT Enterprise plans you can ask to be invoiced instead of paying by card. We issue an itemised invoice payable by bank transfer within 14 days of its date, and the plan starts when the payment clears. Unpaid invoices may result in the plan being paused.
3a. Subscriptions bought through the App Store
If you subscribe inside the Aurelia Spes app on an iPhone or iPad, Apple is the seller and takes the payment. We never see your card details, and we cannot refund, change or cancel that subscription ourselves. The following applies to those subscriptions.
- What you are buying. An auto-renewing subscription to the plan named on the purchase screen, for the period shown there: one month or one year.
- The price is the one the App Store displays for your country at the moment you subscribe. It is set by Apple, may differ from the prices on this website, and includes any tax Apple is required to collect. Payment is charged to your Apple Account on confirmation.
- Renewal. The subscription renews automatically for the same period at the same price unless it is cancelled at least 24 hours before the end of the current period. Your Apple Account is charged for the renewal within 24 hours of the end of the period.
- Cancelling. Cancel in Settings → your name → Subscriptions on your device, or through your Apple Account. Cancelling in the Aurelia Spes app or on this website will not stop an App Store subscription. You keep access until the end of the period you have paid for.
- Changing plan. Choose the other plan inside the app. Apple moves the subscription and works out any credit or additional charge.
- Refunds are handled by Apple, under Apple's own terms, and are at Apple's discretion. Requests go to Apple, not to us. If Apple refunds a subscription, access to the paid plan ends immediately.
- Your 14-day right to cancel as a consumer is unaffected by this section, but because Apple takes the payment, a refund under it is requested from Apple rather than from us. We will help if you ask.
- Restoring. If you reinstall the app or sign in on another device, use Restore purchases to reconnect the subscription to your account.
- One account. A subscription bought through the App Store applies to the one Aurelia Spes account it was bought for. It cannot be used on a second account, and an account cannot hold an App Store subscription and a subscription bought on this website at the same time.
- Business plans are not sold through the App Store. They are arranged directly with us.
- Apple is not a party to this agreement and is not responsible for the service. Apple has no obligation to provide support for it.
3b. Extra credits
- Extra credits are a one-off purchase. They are not a subscription and never renew. On this website they cost £3.50 each, at least 2 at a time (2 for £7), and you choose how many, up to 100 at a time. The number and the total price are shown before you pay.
- In the iPhone and Android apps, extra credits are sold through the App Store or Google Play in packs of 2, 5, 10 or 20, at the price the store shows; section 3a applies to those purchases. Extra credits bought anywhere work everywhere.
- Extra credits never expire. A compliance check or a backtest each use one.
- Your free credit is used first, then your plan's credits, and only then an extra credit. You are never charged an extra credit for a run your plan would have covered.
- If a check cannot be completed because of a fault on our side, the credit is given back.
- Extra credits belong to your account. They cannot be transferred to another account or exchanged for cash, except as section 4 allows.
- If you delete your account, any extra credits left are lost, and are not refunded except under your 14-day right to cancel. We will tell you how many you have and ask you to confirm before your account is deleted.
4. Cancelling
- You can cancel at any time from Account → Manage billing. Your plan stays active until the end of the period you have paid for, and is not renewed.
- Your 14-day right to cancel (consumers). If you are a consumer, you can cancel a new subscription within 14 days of buying it and get a refund. Because you ask us to start the service straight away, we may deduct an amount for the part of the service you used before cancelling. To use this right, email Founder@aureliaspes.com within the 14 days.
- Your 14-day right to cancel extra credits (consumers). Within 14 days of buying extra credits you can cancel the purchase and be refunded for every credit that you have not used. When you buy, you ask for the credits to be available straight away and acknowledge that a credit you have used cannot then be refunded. To use this right, email Founder@aureliaspes.com within the 14 days.
- Apart from that, and from your other legal rights, we don't refund part-used periods.
Model cancellation form. You can use the wording below to cancel within the 14 days, but you don't have to. Any clear statement is enough.
To Aurelia Spes Limited, 44 Henderson Way, Kempston, Bedford, England, MK42 8NP, Founder@aureliaspes.com:
I hereby give notice that I cancel my contract for the supply of the following service: Aurelia Spes subscription / extra credits [delete as appropriate].
Ordered on: [date] · Name: [your name] · Address: [your address] · Date: [today's date]
5. Acceptable use
Don't use Aurelia Spes to break the law, to plan market abuse, to probe or overload our systems, to get around plan limits, or to upload code or data you have no right to share. We may suspend accounts that do.
6. Your code and data
You keep all rights in the code and data you submit. You give us permission to process it only to provide the service to you. We don't use it to train AI models, and we don't share it except with the processors listed in our Privacy Policy.
6a. Code generated from a backtest
- On Professional and higher plans, and on every business plan, you can turn a backtest into code ("Generate code"). The code is produced automatically from fixed templates and the settings you tested. Generating it uses no credit.
- We give you a non-exclusive, perpetual, royalty-free licence to use, change and run the generated code for your own trading or your firm's.
- Generated code is a starting point, not advice and not an approval. It is not investment advice or a personal recommendation, and it is not a statement that the strategy is lawful, compliant, suitable or profitable. A backtest on past or sample data is no guide to future results.
- You are responsible for testing the code (paper trade first), for connecting it to your broker, for the settings you deploy it with, and for how it trades. It is provided "as is", without any promise that it is free of errors, to the extent the law allows; nothing here limits liability that cannot be limited by law, or your statutory rights as a consumer.
- Some settings are refused rather than exported, for example a stop loss or loss limit that could never act, or a crypto derivative for a retail client, which UK rules do not allow (COBS 22.6).
7. The service
We work to keep Aurelia Spes available and accurate, but automated analysis can be wrong or incomplete and the service may occasionally be unavailable. We may improve or change features; if a change significantly reduces what you pay for, you can cancel and receive a refund for the unused part of your period.
The checks are versioned. Every report records the rule-set version that produced it, the engine and model used, and the verdict rules that were applied, and it carries a checksum of the code submitted and a checksum of the report itself. We change the rules as regulation and our own understanding change; a report you already have keeps the version it was produced under, and we do not rewrite past reports. A report is a record of what our checks said on that day. It is not regulatory approval, and it does not transfer responsibility for compliance to us: that stays with you or your firm.
8. Our liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or anything else the law does not allow us to limit. If you are a consumer, your legal rights are not affected.
- The service checks code; it does not trade for you, and the decisions you make about trading are yours. If you are a business customer, we are not liable for trading losses or lost profits. If you are a consumer, we are responsible for loss you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill, and not for loss that was not foreseeable.
- For business customers, our total liability in any 12 months is limited to the fees you paid us in that period.
9. Ending the agreement
You can stop at any time and delete your account in the app. We may end or suspend your account if you seriously break these terms; if we end it for another reason, we will refund any unused prepaid period.
10. Changes and law
We may update these terms; we will tell you about important changes in advance. These terms are governed by the law of England and Wales. If you are a consumer, you may bring proceedings in the part of the UK where you live.
